These Terms and Conditions ("T&C") govern the use of Cupify, a social networking and dating application developed by Credence Limited ("Company"). By accessing or using Cupify ("the App") and its services ("Our Services"), you agree to be bound by these T&Cs.  

If you do not agree with any of the terms herein or any agreements on our website (www.cupifyhk.com), you must cease using the App and all Our Services immediately. 

1. Definition of Users

For the purposes of these T&Cs, the following definitions shall be adopted: 

1.1 "Users" are defined as any individuals who use Our Services in any manner whatsoever, or who have created a profile on our App, or who have attempted to create a profile on our App. 

1.2 "Partners" are defined as any venues or entities that offer any products or services on the App 

2. User Eligibility and Account Registration 

2.1 Users must be at least 18 years old to register and use the App. 

2.2 Users agree to provide accurate, current, and complete information during registration and to update such information as necessary. 

2.3 The Company reserves the right to suspend or terminate accounts found to contain false or misleading information. 

3. User Conduct 

3.1 Users are solely responsible for all activities conducted through their accounts. 

3.2 Users must not use the App for any unlawful, harmful, or fraudulent activities, including but not limited to harassment, impersonation, or distribution of illegal content. 

3.3 Any illegal acts committed by Users will result in immediate termination of the User's account without prior notice. The Company shall not be responsible or liable for any illegal acts done by Users under any circumstances. 

4. QR Code Usage and Transaction Responsibility 

4.1 User Verification Obligation - Users must ensure they have physically received any items purchased or services paid for before allowing their QR codes to be scanned by any Partners. 

4.2 Liability Disclaimer - The Company shall not be responsible for any losses incurred if Users fail to observe this requirement. The Company may, at its sole discretion and without guarantee, attempt to resolve disputes if practically possible, but makes no promises or warranties regarding resolution. 

5. Disruptive Activities and Termination of Accounts 

5.1 Prohibited Conduct - Users are strictly prohibited from engaging in any activities that disrupt the system or negatively affect the experience of other Users. This includes, but is not limited to: 

• Creating multiple fake profiles 
• Uploading fake or misleading photos 
• Consistently failing to show up to multiple dates without notifying the other party and failing to cancel any reserved bookings, but the Company shall assess such situations on a case-by-case basis and retains the discretion to terminate or suspend such User's access to Our Services or carry out any reasonable actions to prevent the same  
• Doxxing or sharing private information of other users 
• Harassing other users, including at their workplace or through the app 

5.2 Enforcement - Any User found to have engaged in such activities, the Company reserves the right to terminate their access to the App terminated immediately and without notice. The Users hereby agree that no compensation will be provided except for Users who have actually paid for items or services and have sufficient proof of such payment, in which case only those specific transactions will be considered for resolution.  

5.3 Without prejudice to the above, should the Company suffer any losses as a result, including any reputational or monetary losses, the Company reserves the right to take legal action against any Users who have breached this clause and claim for any losses suffered arising in or out of such breach.  

6. Sensitive Material Warning 

6.1 Users are urged not to send any sensitive material (e.g., explicit images, confidential information, credit card information) to any other Users. 

6.2 The Company shall not be responsible for any losses or damages resulting from the disclosure of such material to the public or any third parties, whether intentional or accidental. Users are solely responsible for their own communications and the risks associated with sharing sensitive content. 

7. Content and Intellectual Property 

7.1 The Privacy Policy and Copyright Agreement are hereby incorporated by reference and may be accessed on our website: www.cupifyhk.com 

7.2 The Company reserves the right to remove any content that violates these T&Cs, Privacy Policy, Copyright Agreements, any agreements on our website or laws. 

8. Account Termination and Suspension 

8.1 The Company may suspend or terminate any account at its sole discretion, especially in cases of illegal activity, violation of these T&Cs, or complaints from other users or Partners. 

8.2 Termination may occur without prior notice, and affected Users hereby agree to forfeit any rights to use the App or access their account data should they be found to have breached any of the terms herein. 

8.3 All terms herein shall continue to apply to any Users notwithstanding any account closure of Users. If Users do not agree with these terms, they shall not use this App and must cease to use any of our Services immediately.  

9. Limitation of Liability 

9.1 The Company provides the App and its Services on an "as is" basis and disclaims all warranties, express or implied. 

9.2 The Company is not responsible for any loss, damage, or harm resulting from user interactions, third-party actions, or unauthorized access to user data. 

9.3 Users agree to indemnify and hold the Company and Cupify harmless from any claims arising out of their use of the App or violation of these T&Cs. 

10. Privacy and Data Protection 

10.1 User data is collected, processed, and stored in accordance with the Company's Privacy Policy and applicable Hong Kong laws. 

10.2 Users have the right to access, correct, or delete their personal data as described in the Privacy Policy. 

11. Updates and Modifications 

11.1 The Company may update or modify these T&Cs at any time. Users will be notified of material changes via in-app notifications or email or any reasonable method.  

11.2 Users hereby agree that any continued use of the App after changes constitutes acceptance of the revised T&Cs. 

12. Governing Law and Dispute Resolution 

12.1 These T&Cs are governed by the laws of Hong Kong S.A.R. 

12.2 All Users hereby agree to notify the Company within 7 days of any alleged damages caused by the Company, and any damages shall be limited to a maximum of HK$1,000 per claimant. If you do not agree with this, you must cease to use this App immediately. Any continued usage of this App shall be used as evidence of your consent to such terms.  

12.3 All Users hereby agree that any disputes shall be resolved through good-faith negotiation and mediation. Should the former two methods fail, any disputes shall be resolved in a court of competent jurisdiction in Hong Kong.  

12.4 If you do not understand these terms, you are strongly encouraged to consult independent legal advice before using Our Services. The Company shall not be responsible for any losses should you use Our Services without fully appreciating the terms stipulated herein.
